Darragh ORiordan grants you an ongoing, non-exclusive license to use the application. The license grants permission to one individual (the Licensee) to access and use the download files.
The license specifies how many computers or seats the license is valid for. The license grants permission for this many Employees and Contractors of the Licensee to access and use the application concurrently.
The license is perpetual and includes access to updates released during the first year after purchase. You may continue using the last version available to you after that period. Access to later updates may require a separate renewal or purchase.
License Definitions
Licensee is the business entity who has purchased a License.
Application is the binary files that are downloaded from the Local Dev Tools file share
Service is the website, documentation, application, and other services provided by Darragh ORiordan.
Employee is a full-time or part-time employee of the Licensee.
Contractor is an individual or business entity contracted to perform services for the Licensee.
Client is an individual or entity receiving custom professional services directly from the Licensee, produced specifically for that individual or entity. Customers of software-as-a-service products are not considered clients for the purpose of this document.
Liability
Darragh ORiordan's liability to you for costs, damages, or other losses arising from your use of the Application — including third-party claims against you — is limited to a refund of your license fee. Darragh ORiordan may not be held liable for any consequential damages related to your use of the Application. Including but not limited to Loss of profit, Loss of use of any plant or facility, Loss of opportunity, Loss of goodwill, Special or punitive damages.
Support and modifications
The application is provided as is and does not include a guaranteed support response time. You may report defects through the documented support channel. Fixes and modifications are provided at Darragh ORiordan's discretion as part of product updates.
No Responsibility Disclaimer
The information on the Service is provided with the understanding that Darragh ORiordan is not herein engaged in rendering legal, accounting, tax, or other professional advice and services. As such, he should not be used as a substitute for consultation with professional accounting, tax, legal or other competent advisers.
In no event shall Darragh ORiordan or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever arising out of or in connection with your access or use or inability to access or use the Service.
"Use at Your Own Risk" Disclaimer
All information in the Service and Application is provided "as is", with no guarantee of completeness, accuracy, timeliness or of the results obtained from the use of this information, and without warranty of any kind, express or implied, including, but not limited to warranties of security, performance, merchantability and fitness for a particular purpose.
Darragh ORiordan will not be liable to You or anyone else for any decision made or action taken in reliance on the information given by the Service and Application or for any consequential, special or similar damages, even if advised of the possibility of such damages.
Termination
Darragh ORiordan reserves the right to discontinue at any time any product, shall it be offered individually or as a part of a product suite. However, Darragh ORiordan is obligated to provide the proper level of support for all discontinued products for a period of 1 (one) month after the date of discontinuance.
